EXPOSURE4 CONTRIBUTOR AGREEMENT

1. Definitions ‘You, Yourself, Contributor’ - defined as any persons, collectives or organisations supplying original content to be represented and sold by Exposure4 at www.exposure4.com. ‘Us, We, Exposure4’ – Exposure4 ltd. ‘Content’ – defined as any video clips, animations, still images, texts or any other multimedia sold by Exposure4.

 

2. Contributor Agreement You shall be solely responsible for your own content and the consequences of publishing them on the Exposure4 website. Exposure4 own and manage the site www.exposure4.com. The Site functions as a content exchange tool between independent contributors who provide Content to the Site and persons that wish to use such Content. Exposure4 Ltd does not own the copyright and takes no legal responsibility for any content displayed on the site (except in the case where Exposure4 Ltd is supplying its own content in a contributor capacity). This copyright will remain solely and exclusively with the contributor and under no circumstances shall the copyright be transferred to any other person. All content supplied to Exposure4 by a Contributor must:

a) Be owned solely and exclusively by the contributor

b) Not be represented by any other organisation, third party, agent or other stock agency.

c) Be original in so much that it does not directly plagiarise any existing content that is available through similar stock retailers

d) Be labelled accurately, whereby it is not knowingly labelled as a location, event, site or person that is incorrect and must be labelled with location in the following format (Description, Location, Country..) e.g. (Eiffel Tower, Paris, France)

e) Be keyworded accurately and thoroughly, whereby it is not knowingly keyworded as a location, event, site or person that is not correct. The more keywords added to the clip entails the greater chance of it being seen through the keyword search on the site

f) Include the details of all technical information before it is published on www.exposure4.com. This includes shooting format, aspect ratio and date.

 

3. Length of Contract Contributors must agree to allow Exposure4 to represent their content for a minimum of five years. Exposure4 will have exclusive license to sell content submitted by the contributor for this time period. Exposure4 have the right to cease representation of the content at any time during this time period at their sole discretion and without notice.

 

4. Contributor Payment Contributors will receive 50% of the net of VAT selling price of licenses of their content. Payments will be processed monthly via a BACS payment into the contributors bank account or Paypal account. The amount so processed will be the 50% net of VAT amount referred to above plus the applicable VAT. Payments will only be processed for amounts exceeding 50GBP. Until this time your account will show a credit amount. Contributors will be able to track online sales through their private site area.

 

5. Independent Contractor Status The Contributor is engaged as an independent contractor. Nothing herein will be deemed or construed to create a joint venture, partnership, agency or employee/employer relationship between the Contributor and the Company for any purpose whatsoever, or render the Contributor an employee, agent or partner of the Company, and the Contributor shall not hold [himself/herself] out as such. The Contributor has no authority to and will not make any representations or incur any liability or cost or enter into any contracts or other arrangements whatsoever involving the Company in financial or other commitments without the Company's express prior approval in writing.
